1. Issue of Series 69 USD 10,000,000 Share Linked Notes (Autocall Standard Notes with Snowball Digital Coupon) due December 2024, XS2085844053
issued by BrokerCreditService Structured Products plc
(the "Notes")
All capitalised terms used in this letter and not defined herein shall have the meanings and constructions ascribed to them in the terms and conditions of the Notes and in the Final Terms in respect of the Note dated 29.11.2019 (the "Final Terms").
The Issuer hereby notifies Noteholders that Abiomed Inc., US0036541003, ABMD UW Equity have been de-listed from NASDAQ and, as a consequence, a De-Listing Extraordinary Event has occurred.
The Issuer hereby further notifies Noteholders pursuant to Share Linked Condition 2.1(a), that the Calculation Agent has determined in accordance with Share Linked Condition 2.1(a)(ii)(A) that the following adjustment to the terms of the Notes is appropriate to account for such Extraordinary Event:
"With effect from 22.12.2022, the Closing Price of Abiomed Inc., US0036541003, ABMD UW Equity will be deemed to be USD 380.00 on each Scheduled Trading Day occurring on or after such date"
